It is your responsibility to read and understand the information provided on these pages before you participate in the HP Original Rewards Programme. These pages will be updated regularly to bring you the best services. It is your responsibility to check these pages regularly to determine whether the rules and restrictions have been modified. If you do not agree to any such modification, you must immediately cease participation in this Programme. |

1. The HP Original Rewards Programme |
 |
 |
|
1.1. The HP Original Rewards Programme ("Programme") is offered by Hewlett-Packard Singapore (Sales) Pte Ltd ("HP") wherein Reward Points earned by a Member of the Programme can be used to redeem gifts ("Rewards"). |
 |
| 1.2. The Programme is effective from 01 December 2004 and shall serve as an on-going Programme for HP's Members until HP terminates the Programme. |
 |
| 1.3. Membership application is available to all employees of small or medium sized businesses ("SMB") who purchase and consume Qualifying HP print cartridges. "Qualifying HP print cartridges" means original HP LaserJet and Inkjet print cartridges in the most current Programme Catalogue published at the Programme Website. |
 |
| 1.4.
Application to join the Programme can be made on-line at the Programme Website or by contacting our Customer service.

 |
| 1.5. Upon successful enrolment, the Member will be given a unique User ID and Password provided by the Programme Centre to enable him to log into the Programme Website. The Member shall safeguard the Password and shall adhere to any procedural, security and other requirements relating to its use. |
 |
| 1.6. The Programme Website will allow Members to make online eCoupon registration, make redemption, update their particulars, check their Reward Points balance and view the latest catalogues and promotions |
 |
|
1.7. Each Qualifying HP print cartridge carries a unique serial number, "eCoupon Number". The eCoupon Number will be used for registration and accumulation of points ("Reward Points").The eCoupon Number may be sealed in a sticker on the box ("eCoupon") or printed on the inside of the cartridge box. Inkjet Cartridges that have expired are not eligible for Reward Points. |

1.8. Every eCoupon has a corresponding number of Rewards Points. The Member will be able to earn Rewards Points when they register the eCoupon Number of the eligible Qualifying HP print cartridges in the Programme Website. They can accumulate the Rewards Points for a maximum of ONE (1) year and use them to redeem Rewards | |

2. Eligibility and membership |
 |
 |
| 2.1. The Programme is open to employees of companies classified by HP as small or medium sized businesses ( "SMB"), although at all times eligibility for membership is at the sole discretion of HP. HP resellers and companies within the HP Group of Companies are not eligible for participation. HP's classification of whether an entity is or is not a SMB is final and shall not be open to challenge. For purposes of this Programme, "company" includes partnerships, sole proprietorships or any other entity whether or not having separate legal identity.

| 2.2. Customers who are already members of HP's Supplies MVC (Most Valued Customers) Programme are not eligible for participation in this Programme. |
 |
| 2.3. To apply for membership, employees of small or medium sized businesses ("SMB") who purchase and consume Qualifying HP print cartridges are required to submit all such supporting documents as specified by HP to satisfy the minimum eligibility criteria. Failure to do so will result in delayed processing/rejection of application. There is no joining fee and membership in the Programme is granted at the sole discretion of HP whose decision on this shall be final and binding on the parties.

| 2.4. A member can name and appoint multiple individuals ("Contacts") from the same organisation to represent it in and to carry out all activities for and on behalf of the Member under the Programme. All communication and correspondence under this Programme will be directed to the appointed Nominees and no other. person. Once HP has been provided with the Nominees' name and any other particulars that HP may reasonably require, HP shall be entitled to assume (unless told explicitly otherwise by the Member in writing) that the Nominees have the authority to act for the Member in all matters (directly or indirectly) related to the Programme. |

2.5. Each individual member will maintain his/her own Rewards Points and use his/her own unexpired Rewards Points to redeem Rewards. |
 |
| 2.6. In the event that the Member resigns from the company based on which his application to join the Programme was approved, to join another company, the individual's membership will be terminated and the member's eligibility to join the Programme under his new company will be reassessed based on the prevailing eligibility conditions of the Programme. Should he be qualified to join, Member is not permitted to transfer his Reward Points from his last membership into his new membership. He must then either use up his Reward Points prior to his existing membership being terminated or otherwise his Reward Points will be forfeited. |
 |
| 2.7. Member acknowledges that HP may, at its sole discretion, restrict, suspend, withdraw or otherwise alter aspects of or the whole of the Programme, with or without notice at any time to the Member or Members (as the case may be), except as specifically provided herein. |
 |
| 2.8. If in HP's sole opinion, a Member abuses any of the Programme privileges, fails to comply with any of the terms and conditions herein or makes any misrepresentation to HP, HP reserves the right to terminate the Member's participation in the Programme or revoke all the Reward Points that have been earned by the Member. HP's determination on the matters raised in this paragraph 2.7 shall be final and conclusive. |

| 2.9. Member must keep a current address including email, fax and phone to ensure that all Programme communications are being sent to the proper address. A Member must notify the Programme Centre immediately of any change of contact address including email, fax and phone by giving written notice of such changes. |
 |
3. Transfer of Membership |
 |
 |
| 3.1 With effect from 5 April 2006 the Programme classifies all existing Primary and Secondary Member contacts as Members, who can enjoy equal membership privileges as described in clause 4.1 below. |
 |
4. Earning Reward Points |
 |
 |
| 4.1. With every purchase made by the Member of Qualifying HP print cartridges through HP authorized distributors and resellers, Member will be able to earn Reward Points.. Members may redeem the Reward Points for Rewards as set out in the current Programme Catalogue and Programme Website or any other special Rewards promotions as may be determined by HP from time to time in its absolute discretion. Details of the Programme Website will furnished to the Member on joining the Programme.

| 4.2 HP reserves the right to change the eligible Qualifying HP print cartridges in the Programme Catalogue published at the Programme Website from time to time. The Member shall refer to the Programme Website for the latest list of eligible Qualifying HP print cartridges. |
 |
| 4.3. Each Qualifying HP print cartridge will have an eCoupon which will have a serial number which must be registered in the Programme Website to earn Reward Points. Reward Points will be calculated by reference to the total number of eCoupons registered in the Programme Website. Occasionally, additional bonus Reward Points or other benefits through specified promotions occasionally, may be rewarded to Member. Instructions for eCoupon registration process is to be available on the eCoupon itself, via the Programme Website and with the initial communication sent to the Member.

| 4.4. Member's organization must have purchased and consumed the Qualifying HP print cartridge from which the eCoupon number is taken to register in the Programme. Member must register the eCoupon within SIX (6) months from the purchase date |
 |
| 4.5. For each eCoupon used by a Member, the Member is required to keep all proof of purchase documents for verification of claims by the Programme Centre, if required, for a period of TWELVE (12) months from the date of registration of eCoupons (in accordance with the registration procedures specified in the eCoupon) or until such time that all document have been duly submitted for verification. These shall include:
Toner cartridges: Invoice copies stamped with company chop
Ink cartridges: Promotion sticker detached from the cartridge box, original eCoupons and invoice copies with company chop
HP shall at all times reserve the right to request for additional proof of purchase documents for verification purposes.

| 4.6. For each eCoupon used by a Member, the company name on the related receipt must be the same as Member registration. |
 |
| 4.7. Each eCoupon may only be registered once for either Reward Points accumulation or instant Rewards claim. Any successfully submitted transaction may not be changed thereafter.
|
 |
| 4.8. HP reserves the right to withhold Reward Points earned from products that HP and its agency suspect are purposively or intentionally resold, with membership suspended from Programme activities for assessment until further notice. |
 |
| 4.9. HP reserves the right to change the basis on which Reward Points are awarded (including number of Reward Points at any time, with or without notice, at HP's sole discretion.
|
 |
| 4.10. Reward Points have no cash value, and are not exchangeable for cash. Reward Points cannot be sold, purchased, assigned, or transferred, except as specifically provided in the terms herein or as may be allowed in special Rewards promotions by HP at its sole discretion. |
 |
| 4.11. Members will be able to view their monthly statements online showing the Reward Points they have accumulated via the Programme Website. HP reserves the right to delay or postpone the issuance of statement. In the absence of obvious error, the number of Reward Points stated in the Programme Website will be binding and conclusive. |
 |
|
4.12. Should insufficient Reward Points for Reward redemptions be accumulated by a Member during a consecutive TWELVE (12) months period commencing from the registration, its Membership in the Programme will be terminated automatically without notice. In such event, all accumulated Reward Points will be forfeited, without notice, at HP's sole discretion. Membership terminated hereto cannot be reinstated for any reason. A new Membership must be applied for. |

5. Redemption of Rewards |
 |
 |

5.1. The Member may use unexpired Reward Points to redeem Rewards in accordance with prevailing offers or promotions. Reward Points will be utilized on a first-in-first-out basis. Redemption of Rewards is subject to Member having sufficient Reward Points and is subject to stock availability, which will be based on first-come-first-served basis.

| 5.1.1. Other than the limited warranties HP may provide in respect of its own products, the Rewards that may be redeemed using the Reward Points (whether featured in a Programme Catalogue, Programme Website or any other medium) are provided "AS IS" without warranties of any kind, including warranties of merchantability, non-infringement of intellectual property, or fitness for any particular purpose. HP does not warrant or make any representations regarding the use, validity, accuracy, or reliability of, or the results of the use of, or otherwise in respect of the materials on this site or any sites linked to this site. Under no circumstances (including but not limited to negligence, omission or default) shall HP be liable for any direct, indirect, special, incidental or consequential damages, including, but not limited to, loss of profits, business interruption or loss of information or data, arising out of the use or the inability to use the Rewards even if HP or an HP representative has been advised of the possibility of such damages. |

| 5.2. For redemption of Rewards, the Rewards Request must be submitted online via the Programme Website or by calling the Programme Centre. Rewards redeemed may take a form of the vouchers ("Vouchers ") and a form of the physical goods ("Physical Goods"). Upon the online submission of the Rewards Request for the Physical Goods, the Member will be issued with a letter which lists the collection details ("Redemption Letter"). |

5.3. After verification and processing of the Rewards Request, the delivery of Rewards may take approximately 4-6 weeks. In cases where Reward items are not available from the vendor at the time of redemption and the Member is unwilling to accept an alternative Reward item in substitution, the 4-6 weeks delivery period will be extended
|
 |
|
5.4. Vouchers shall be delivered to a designated address in accordance with clause 5.3 above. Physical Goods shall be collected by Members from the respective merchants responsible for the supply of such goods, details of which shall be indicated in an authorization letter issued by Programme Centre to the Member.
|
 |
|
5.5. All Rewards redemption submitted by Member cannot be exchanged for cash, revoked or cancelled by Member nor any claim for cash refund entertained.
|
 |
|
5.6. In the event of failed delivery of a Reward item by the Post Office, Member should report to the Programme Centre within 4-6 weeks upon the online submission of Rewards Request has been made, otherwise HP reserves the right to decline request for re-issuance and used Reward Points will not be reverted.
|
 |
|
5.7. Collection of the Rewards must be done within TWO (2) weeks from the Member's receipt of the Redemption Letter issued by the Programme Centre. Any failure on the part of Member to do so for any reason whatsoever will result in the automatic forfeiture of the Reward concerned. For the avoidance of doubt, the Reward Points used in the redemption of the Reward may not be returned or credited back to the Member notwithstanding that he did not collect the Reward or in the case of Vouchers, if the Voucher was undeliverable for any reason attributable to the Member's own fault (e.g. furnishing an incorrect delivery address to the Programme Centre).

5.8. Member is advised to examine the Reward item upon delivery. In the case of Vouchers, if the details in the Voucher are incorrect, it must be returned to the courier company within SEVEN (7) days of receipt of the Voucher. In the case of faulty, damaged and/or defective Physical Goods, they must be returned immediately by Member at its own costs in its original packaging to the delivery person or the merchant within ONE (1) week from the date he (a) received the Reward item or (b) collected the Reward item, as the case may be.

5.8.1. Neither HP nor Programme Centre will be responsible for the condition of the Reward item, the operation of the Reward item or any damage, loss or bodily injury arising from usage of the Reward item. All product warranties or queries on the Rewards redeemed should be referred to the original supplier or manufacturer directly. Any dispute concerning the Rewards (quality or otherwise whatsoever) shall be settled between Member and the supplier or manufacturer concerned that supplied the Rewards. Other than any limited warranty that HP may give in respect of its own products, HP is neither liable for any products warranty issues nor for the quality or suitability of the same and will bear no responsibility for resolving such disputes or for the dispute itself.

5.9. Installation of all electrical or electronic goods redeemed shall be the Member's sole responsibility and at its own cost.
|
 |
|
5.10. All Rewards are subject to availability and any restriction may apply as to where and when the Rewards may be redeemed. HP reserves the right, at its sole discretion, to discontinue an item or to substitute a similar item of equal value at any time without notice prior to that item being redeemed. HP provides no guarantee that any Rewards will remain available for the entire term of the Catalogue.

6. Rewards Points deduction and validity |
 |
 |
| 6.1. Each HP Rewards Points carry a validity period of ONE (1) year from the date the Reward Points were credited into the Member account. |
 |
| 6.2. When redeeming Rewards, HP will deduct the Reward Points earned by date order so that the earliest accumulated Reward Points will be deducted first.
|
 |
| 6.3. HP may, at its sole determination, deduct from Member's remaining Reward Points: |
 |
| 6.3.1. Any Reward Points suspected to be fraudulently recorded or earned by Member;
|
 |
| 6.3.2. Any Reward Points recorded in error; and
|
 |
| 6.3.3. Any Reward Points relating to a transaction which is cancelled.
|
 |
|
 |
7. General |
 |
 |
| 7.1. Information provided by Members gathered at the point of Programme enrollment or as a result of Member's redemption of Rewards, purchases and other transactions will be used by HP for administering the Programme, marketing planning, research and other related marketing Programme purposes and HP may pass such information to its authorized service providers for Programme management, data processing, redemption management and analysis and other purposes related to the Programme. By acceptance of and participation in the Programme, Members have consented to such use. |
 |
| 7.2. The Programme Centre may use Information to communicate new product information, special Rewards or an invitation to participate in HP events to the Member via a monthly electronic newsletter. The Programme Centre may also use Information to communicate adhoc Programme related updates which are not communicated on the monthly electronic newsletter. Member has the right to decline to receive such communication by contacting the Programme Centre at any time. |
 |
| 7.3. The latest update to the Programme Catalogue is available to Members via the Programme Website.
|
 |
| 7.4. HP reserves the right to cancel or revise or suspend the Programme or the terms and conditions herein at any time it deems necessary with or without notice and without having to give any reasons for doing so. HP may (but shall not be obliged to) give advance notice to Members in the manner it deems appropriate in the event it decides to cancel, revise or suspend the Programme or the terms and conditions stated herein.

| 7.5. Programme terms and conditions in the Programme Website shall be most updated and final. |
 |
| 7.6. Termination of the Programme will take effect on the date stated in the notice and Member must use any remaining Reward Points within THIRTY (30) days from the date stated in the notice. No redemption of Rewards shall take place after that date and no new Reward Points shall be issued during this period notwithstanding that the Member may have purchased new toner cartridges. |
 |

7.7. HP's failure to enforce a particular term and condition does not constitute a waiver of that term and condition by HP.
|
 |
|
7.8. HP assumes no responsibility for any claims, losses, costs, expenses or damages of whatever nature resulting from the redemption of the Rewards.
|
 |
|
7.9. Suspected or actual fraud and/or suspected or actual abuse relating to the accumulation of Reward Points or redemption of Rewards may result in immediate forfeiture of accumulated Reward Points as well as termination of Member's participation in the Programme in addition to any other rights or remedies may have whether in law or equity.
|
 |
|
7.10. All questions or disputes regarding eligibility for the Programme or the Reward Points accrual or redemption of Rewards will be determined by HP at its sole discretion.
|
 |
|
7.11. Reward Points are not transferable to another Member.
|
 |
|
7.12. Redemption of Rewards with insufficient Reward Points will not be processed.
|
 |
|
7.13. HP reserves the right to withdraw at any time any Reward items shown in the Programme Catalogue.
|
 |
|
7.14. There is no Trial Period for any Rewards redeemed.
|
 |
|
7.15. HP's decision on all matters pertaining to the Programme is final.
|
 |
8. Disclaimers |
 |
 |
| 8.1. HP and any agents, contractors (if any) that it may use in the execution and management of this Programme do not warrant or represent (either directly or indirectly) |
 |
| 8.1.1. That participation in and/or access to the whole or part(s) of the Programme, Programme materials, contents, information and/or functions contained therein will be provided uninterrupted, timely, secure and error-free; |
 |
| 8.1.2. That the quality of Rewards items redeemed by Member will meet Member's expectations in any way. Neither does HP make any warranty or representation as to the merchantability, suitability of the Reward for the Member's purposes or fitness for use of the Reward redeemed by the Member; and
|
 |
|
8.1.3. That no computer viruses shall be transmitted or that no damage shall occur to Member's computer system as a result of any online activity of the Programme.
|
 |
|
8.2. Any material downloaded or otherwise obtained through the Internet is done at Member's own discretion and risk and that Member will be solely responsible for any damage to Member's computer system or loss of data resulting from such download.
|
 |
|
8.3. Limitation of Liability: Without prejudice to any provisions in the foregoing, Members expressly understand and agree that HP and its agent(s) shall not be liable for (a) any losses, costs and damages resulting from the Member's enrollment on the Programme, use of the Programme, redemption of the Rewards and use of the Reward items (b) any indirect, incidental, special, consequential or exemplary damages, including but not limited to damages for loss of profits, goodwill, data or other intangible losses even if HP and its agent(s) have been advised of the possibility of such damage(s) resulting from Member's participation in the Programme and/or its redemption and use of Rewards.

8.4. Notice: Notices to Members may be made via either e-mail or regular mail. The Programme Website may also provide notices of changes to the terms and conditions or other matters by displaying notices or links to notices to Members generally on the service.
|
 |
|
8.5. Governing Law: The terms and conditions set out herein shall be governed by and construed in accordance with Singapore law. For purposes of this paragraph, "person" shall mean a human being or a corporate entity (whether or not having separate legal existence) as the case may be.
